Cloud Service Agreement
This Cloud Service Agreement v2.0 (CSA) is designed to be used for B2B SaaS products. This version of the CSA incorporates the Common Paper Service Level Agreement Standard Terms.
How to use this CSA
You can use smart fields to customize your contract. We've included some default choices and drafting notes about some things to consider when customizing this contract. You should describe the terms of the products and services being sold in the Order Form section, plus the legal details of the agreement in the Key Terms section.
The Cloud Service Agreement Standard Terms Version 2.0 (https://commonpaper.com/standards/cloud-service-agreement/2.0/) are incorporated by reference, but we have also copied the terms in this agreement as an optional clause that you can remove. Please check that you have included the most recent version of these Standard Terms on the Common Paper website.
To create your agreement, customize the smart fields and other brackets [ ] throughout with your details. Review the optional fields and decide whether they apply. If they apply, customize them based on your situation and remove the notes container from around the variable name, but not the variable name itself. If any optional field does not apply, remove it entirely.
Don't forget to make sure the link to the Standard Terms (available at: https://commonpaper.com/standards/cloud-service-agreement/2.0/) is active and clickable to incorporate them by reference.
If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.
This Agreement consists of:
the Order Form and Key Terms on the Cover Page below, and
the Cloud Service Agreement Standard Terms Version 2.0 (https://commonpaper.com/standards/cloud-service-agreement/2.0/) incorporated by reference.
If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.

Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below between [Company name] and [customer company name], and the Common Paper [Cloud Service Agreement Standard Terms Version 2.0](https://commonpaper.com/standards/cloud-service-agreement/2.0/), which are incorporated by reference. If there is any inconsistency between this Order Form and the Framework Terms, this Order Form will control for this Agreement. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.
