This App Marketplace Publishing Agreement (the "Agreement") is entered into as of the Effective Date by and between Ayman Seif, an individual developer and owner of the App (the "Developer"), and [Marketplace Legal Name], a [Marketplace Entity Type] with its address at [Marketplace Address] (the "Marketplace"). The Developer and the Marketplace are each a "Party" and together the "Parties".
Recitals and Purpose
The Developer owns and wishes to publish and distribute the App through the Marketplace so that End Users may obtain the App.
The Marketplace operates a platform through which software applications may be listed, hosted, marketed within the license scope set out herein, and distributed to End Users, and through which related payments may be processed.
The Parties enter this Agreement to establish a limited, non-exclusive arrangement for listing and distribution of the App via the Marketplace, without any assignment of the Developer’s Intellectual Property to the Marketplace.
In consideration of the mutual covenants in this Agreement, the Parties agree as follows.
Definitions
"App" means the software application identified as [App Name], including its object code, related digital content, updates, upgrades, patches, and listing materials submitted by the Developer for distribution through the Marketplace, as further described in Exhibit A (if attached).
"Marketplace" means, when referring to the service rather than the Party, the online application store or distribution platform operated by [Marketplace Legal Name], including related websites, APIs, and storefronts designated by the Marketplace for End User acquisition of apps.
"End Users" means individuals or entities that obtain, download, install, access, or use the App through the Marketplace.
"Confidential Information" means non-public information disclosed by one Party (the "Disclosing Party") to the other (the "Receiving Party") in connection with this Agreement that is marked confidential or that a reasonable person would understand to be confidential, including business, technical, financial, and user-related non-public information, but excluding information described in the standard exceptions in Section 13.
"Intellectual Property" means patents, copyrights, trademarks, trade secrets, database rights, design rights, domain names, and any other intellectual property or proprietary rights, whether registered or unregistered, and all applications and renewals.
"Fees" or "Revenue Share" means amounts payable in respect of qualifying End User transactions for the App after deduction of the Marketplace commission and any permitted adjustments described in Section 8.
"Policies" means the Marketplace’s published developer, content, security, privacy, store listing, and related program policies applicable to apps on the Marketplace, including those available at [Marketplace Policies URL], as updated from time to time in accordance with this Agreement.
"Term" means the Initial Term together with any Renewal Terms, until expiration or earlier termination of this Agreement.
