Background
The Company has decided to engage ad hoc advisors to assist the Company with certain services as set out in this Agreement and wish to appoint the Advisor as a such advisor for the Company.
The purpose of this Agreement is to lay down the principles for the Services engaged by the Company.
APPOINTMENT
The Company hereby engages the Advisor to act as an advisor for the Company on certain matters as set out herein and the Advisor accepts such engagement.
The Advisor has been engaged because of [his/her] particular knowledge within [●].
As from the signing of this Agreement, the Company shall be entitled to disclose at its website and marketing material that the Advisor is engaged by the Company.
SERVICES
The role of the Advisor is to provide the services set out in Appendix A (the “Services”) as agreed between the Company and the Advisor.
The Advisor shall perform the Services in a timely and professional manner, consistent with industry standards.
The Advisor agrees to be available for online discussions with the Company regarding the items set out in Appendix A.
COMPENSATION
As compensation for [his/her] engagement and the Services provided, the Advisor shall be compensated as set out in Appendix B.
Additionally, the Company shall reimburse reasonable expenses related to the performance of the Services.
TERMINATION
This Agreement shall enter into force on signing by both parties.
Both parties shall be entitled to terminate this agreement with a written notice of one (1) month to the end of a month.
TAX
The Advisor shall have sole responsibility for withholding of and paying all applicable taxes with respect to this Agreement. Any tax consequences for the Advisor regarding this Agreement shall be of no relevance to the Company.
NO EMPLOYMENT RELATIONSHIP
The Parties hereto acknowledge and agree that the Advisor is an independent contractor and not an employee, agent or partner of the Company, and nothing herein shall be construed to be inconsistent with this relationship or status. While the Advisor may perform the Services under the general direction of the Company, the Advisor will determine, in the Advisor’s sole discretion, the manner and means by which the Services are accomplished. The Advisor shall not have any authority to contract for or bind the Company in any manner.
