COACHING AGREEMENT

This Coaching Agreement (hereinafter referred to as the "Agreement") is made and effective [EFFECTIVE DATE] (the “Effective Date”),

BY AND BETWEEN:	[COACH NAME], with an address of [COACH ADDRESS], hereinafter referred to as the “Coach”.
AND:	[CLIENT NAME], with an address of [CLIENT ADDRESS], hereinafter referred to as the “Client”, collectively referred to as the “Parties”.

PURPOSE OF THE AGREEMENT

The purpose of this agreement is to specify the terms and conditions of the coaching relationship between the Coach and the Client.

TERM

This agreement will begin on _________, 20__, and will continue until _________, 20__. The agreement may be renewed upon mutual agreement of both parties.

RESPONSIBILITIES AND DUTIES OF THE COACH TOWARD THE CLIENT

DEFINITION OF PROFESSIONAL AND ETHICAL MANNER

For this Agreement, conducting services "professionally and ethically" means the Coach upholds high standards including ongoing education, respect, clear communication, and fulfilling agreements. Ethically, the Coach commits to respecting confidentiality, avoiding conflicts of interest, and refraining from discrimination, harassment, or abuse. They also ensure the Client's growth without imposing personal beliefs and maintain professional boundaries.

PAYMENT FOR SERVICES

The Client agrees to pay the Coach a fee of __________ for a XX-session coaching program. Payment should be made as per the payment schedule agreed upon.

CONFIDENTIALITY

All information shared between the Coach and the Client will be held as confidential unless the Client grants permission to share such information or if the Coach is required by law to disclose such information.

CANCELLATION POLICY

The Client may cancel this agreement with 14 days' written notice to the Coach. In such a case, any unpaid fees for services already provided will be due immediately.

INTELLECTUAL PROPERTY

All materials provided by the Coach during the term of this agreement are the property of the Coach and cannot be used or reproduced without the Coach's written consent.

EXCLUSIVITY

This agreement does not create an exclusive relationship between the Coach and the Client.

LIMITATION OF LIABILITY

The Coach is not liable to the Client for any indirect, special, exemplary, or consequential damages, including any lost profits, arising from this agreement.

SEVERABILITY

If any provision in this agreement is found to be unenforceable, the remainder of the agreement will remain in full force and effect.

GOVERNING LAW

This Agreement is governed by, and interpreted in accordance with, the laws of [LEGAL JURISDICTION] without regard to its principles of conflicts of law.

ALTERNATIVE DISPUTE RESOLUTION

Any disputes under this agreement will be resolved through mediation before resorting to legal action.

LEGAL FEES

In the event of a dispute resulting in legal action, the successful party will be entitled to its legal fees, including, but not limited to its attorneys' fees.

ENTIRE AGREEMENT

This agreement constitutes the entire understanding between the Coach and the Client.

AMENDMENTS

This agreement may be amended or modified only by a written instrument executed by both the Coach and the Client.
