Approval of Annual Accounts

IT IS RESOLVED THAT:

Approval of accounts

The annual accounts of the Company for the financial year ended [financial year to which the annual accounts relate], together with [accompanying reports], in the form produced to the board, be and are hereby approved for the purposes of the Companies Act 2006.

Authorisation to sign

Any director of the Company be authorised to sign the balance sheet on behalf of the board in accordance with section 414 of the Companies Act 2006.

Filing, circulation and authority

Any director or the Company Secretary be authorised to:

file the approved accounts at Companies House within the applicable statutory time limits;

circulate the approved accounts to the Company’s shareholders and any other persons entitled to receive them; and

do all acts and things which they consider necessary or desirable to give effect to this resolution.
