Cloud Service Agreement
These Terms of Service are based on the Cloud Service Agreement v2.0 and designed to be used for B2B SaaS products.
You may also wish to incorporate the Service Level Agreement Standard Terms. The SLA terms are saved within this Common Paper repository, as well as an alternate version of this CSA with the SLA terms included.
How to use this CSA
You can use smart fields to customize your contract. We've included some default choices and drafting notes about some things to consider when customizing this contract. You should describe the terms of the products and services being sold in the Order Form section, plus the legal details of the agreement in the Key Terms section.
The Cloud Service Agreement Standard Terms Version 2.0 (https://commonpaper.com/standards/cloud-service-agreement/2.0/) are incorporated by reference, but we have also copied the terms in this agreement as an optional clause that you can remove. Please check that you have included the most recent version of these Standard Terms on the Common Paper website.
To create your agreement, customize the smart fields and other brackets [ ] throughout with your details. Review the optional fields and decide whether they apply. If they apply, customize them based on your situation and remove the notes container from around the variable name, but not the variable name itself. If any optional field does not apply, remove it entirely.
Once completed, remove the brackets (but not the details inside them) and all drafting notes, copy the information, and paste it into the page where you will host your clickthrough agreement. Don't forget to make sure the link to the Standard Terms (available at: https://commonpaper.com/standards/cloud-service-agreement/2.0/) is active and clickable to incorporate them by reference.

If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.
