The Seedsummit Intellectual Property Assignment Agreement effects the full and irrevocable transfer by a founder of all intellectual property rights in creations developed in the course of their duties at the company. En sa qualité de Président ou Directeur Général de la Société, le Cédant a réalisé ou conçu pour la Société, seul ou en collaboration avec d'autres personnes, un certain nombre de Créations protégées par des Droits de Propriété Intellectuelle (tels que ces termes sont définis ci-après).

Conformément à leur accord initial, les Parties ont entendu conclure le présent contrat (le « Contrat ») en vue de formaliser la cession au profit de la Société de l'ensemble des Droits de Propriété Intellectuelle susceptibles d'être attachés aux Créations réalisées par le Cédant dans le cadre de ses fonctions sociales et des activités développées au profit de la Société.

CELA EXPOSÉ, IL A ÉTÉ CONVENU ET ARRÊTÉ CE QUI SUIT :

ARTICLE 1: CESSION DES DROITS DE PROPRIETE INTELLECTUELLE

Par les présentes, le Cédant cède à la Société, à titre exclusif et irrévocable, l'intégralité des Créations réalisées par le Cédant seul ou en collaboration avec d'autres personnes dans le cadre de ses fonctions sociales et des activités développées au profit de la Société, ainsi que l'ensemble des Droits de Propriété Intellectuelle susceptibles d'être attachés aux Créations.

Par « Créations », on entend, sans que cette liste soit limitative, (i) tous les logiciels, développements, programmes et suites d'instructions informatiques (sous formes de codes sources ou de codes objets), les sites internet ou applications, leurs améliorations, ainsi que les spécifications et documentations préparatoires qui y sont associés ; (ii) toutes les inventions, en ce compris les brevets, concepts, procédés, techniques, formules, algorithmes, données ou ensemble de données, bases de données, produits, méthodes de gestion industrielle ou commerciale, ainsi que leurs améliorations ; (iii) tous les signes distinctifs, en ce compris les marques et noms de domaines ; (iv) toutes les créations graphiques, visuelles, audiovisuelles ou littéraires originales en ce compris les articles, présentations, rapports, livres blancs, plans, schémas, œuvres musicales ou audiovisuelles, animations, dessins et modèles, logos, slogans, interfaces ou éléments graphiques de tout site internet ou application ; (v) tous les éléments de savoir-faire, en ce compris les secrets commerciaux et industriels et toutes les informations confidentielles les concernant ; (vi) et plus généralement toutes idées formalisées, travaux ou résultats créés, réalisés, développés ou obtenus par le Cédant tant avant la création de la Société, dans le domaine des activités de celle-ci, qu’après la création de la Société, dans le cadre et pendant le temps des fonctions et missions du Cédant, et ce quelle que soit la nature de sa collaboration à la réalisation et/ou au développement desdites Créations.
