An agreement between a film producer (a partnership firm) and a distributor company in India, under which the distributor finances the production of a film in return for exclusive distribution rights and a commission. It covers the production budget and the producer's obligations, a security deposit, the distributor's staged advances (studio, laboratory, raw film, editing), the distributor's commission and first charge on the film until the advance is recovered, arrangements for the theatrical release and the waterfall for distributing proceeds, the producers' joint and several liability for any shortfall, accounting and inspection rights, restrictions on encumbering the film, each party's remedies on the other's default, and dispute resolution by arbitration.

An agreement between a builder/developer and a broker (real estate agent) in India, appointing the broker to sell residential flats in a project under construction, on a commission basis. It covers the broker's appointment and the price and terms (set out in an annexure), the commission rate, the builder's warranties as to clear and marketable title and quality of construction, and the fixed period of the broker's authority to sell. Note: for projects and agents covered by the Real Estate (Regulation and Development) Act, 2016 (RERA), the project and the broker must be RERA-registered.

An agreement appointing an architect firm to design and supervise the construction of a building for an owner (the Employer) in India. It sets out the architect's full scope of services — sketch designs, municipal approvals, working and structural drawings, estimates and tender documents, site supervision, checking contractors' bills and certifying payments, and obtaining the completion and occupation certificates — together with the standard of care and responsibility for structural soundness, submission timelines, the fee (a percentage of the value of works) and its stage-wise payment schedule, liquidated damages for delay, assignment and termination rights, and dispute resolution by arbitration under Indian law.

A sole selling agency agreement under which a principal appoints an agent to sell its products/goods, on commission, in a defined town or territory in India. It covers the agent's exclusive appointment and term, commission and weekly remittance of proceeds, cash and credit sales, stock holding and insurance, resale conditions imposed on trade purchasers (territory and price), the agent's whole-time duties and restrictions on other business, stock-taking and shortages, termination and summary-termination rights, delivery of unsold stock on termination, and dispute resolution by arbitration under Indian law.

An outsourcing agreement under which a publisher engages a technology vendor to digitize the hard copies of a book and deliver the contents on a CD bundled with a search engine, in India. It covers the scope of digitization work (scanning, OCR, proofreading, tagging, indexing), development and perpetual licensing of the search engine, ownership of copyright and all rights in the CD, delivery timelines, staff training, per-page and per-CD pricing, payment milestones, CD updating and annual maintenance, indemnity, termination, force majeure, arbitration and jurisdiction.

A two-part specimen for the purchase of an industrial plot by a company that is yet to be incorporated. Part 1 is the promoters' agreement with the vendor to buy the plot on behalf of the proposed company (ABC Ltd.); Part 2 is the agreement the company itself enters into with the vendor, once incorporated, to complete the same purchase. Together they cover the price and payment schedule, verification of the vendor's title, equal sharing of sale expenses and stamp duty, delivery of possession, registration of the sale deed, and adjustment of price for any error in area or boundaries - a typical pre-incorporation-to-incorporation land acquisition flow under Indian company and property law.

A rent agreement under which a property owner (Lessor) lets an office room with an attached toilet and bathroom to a company (Lessee) - typically a proposed or newly-incorporating company using the premises as its registered office - for an eleven-month term in India. It covers monthly rent (excluding electricity and water, billed by meter consumption), one month's advance rent, restrictions on subletting, structural changes and use (official purposes only), the owner's inspection rights, maintenance responsibilities, and termination on one month's notice by either party.

A residential tenancy (lease) agreement under which a landlord lets a house to a tenant on a monthly tenancy basis in India. It covers the security deposit and monthly rent (with periodic increases), the landlord's repair and upkeep obligations, the tenant's maintenance duties, payment of taxes and charges, restrictions on alterations, subletting and use (residential only), and termination for default or insolvency - with residual matters governed by the applicable statutory tenancy law.

A leave and license agreement under which an owner (Licensor) grants another party (Licensee) temporary permission to occupy and use part of a building for business purposes in India, typically for an eleven-month term. It is structured as a licence rather than a lease or tenancy - so it does not create tenancy rights - and covers the license fee, taxes and utilities, parking, permitted use, upkeep and damage, restrictions on alterations and transfer, the Licensor's inspection rights, and termination with handover of vacant possession.

A straightforward employment agreement designed for hiring an assistant in a trade or business context. It outlines core terms such as duties, wages, exclusivity requirements, and termination procedures, including summary dismissal for misconduct.
