Public Relations WorK Agreement

This PR Contract Agreement (the "Agreement") is made and effective as of September 1, 2025, BETWEEN: Lottie Hutchins PR Limited, with an address at 7 Charlotte Court, 14 Old Milton Road, New Milton, Hampshire, England, BH25 6DT ("Publicist") AND: Shift7, with a place of business/residence at Charlton House, 9 Church Road, Bagshot GU19 5EQ ("Client") Registered office address: 7 Charlotte Court, 14 Old Milton Road, New Milton, Hampshire, England, BH25 6DT This Agreement will commence on October 1, 2025.

The Publicist will provide services for 3 days in October 2025 for the fee of £1,050.00.

Scope of work

The Publicist will provide PR consulting services for the Client and the Client’s agency clients as agreed from time to time, which may include PR consultancy and strategy, media relations, content support, and thought leadership. This is a general scope without specific deliverables; specific activities, outputs, and increased days of work will be discussed and agreed in writing (email suffices) for each engagement or phase.

Contract duration

Unless terminated in accordance with Section 18 (Term and Termination), this Agreement operates as a master services agreement governing the initial October 2025 engagement and any future or additional works, including increased days of work, that the Parties may agree from time to time in writing (email suffices). The Parties will review ongoing services periodically (at least quarterly) and may adjust scope, days, and priorities by mutual written agreement. Either Party may terminate ongoing services per Section 18.

Payment terms for the initial and any future services are set out in Section 4 (Payment Terms) below.

Invoices for services will be issued monthly in arrears for the initial October 2025 engagement (3 days for £1,050.00) and for any future engagements and increased days of work at the Parties’ agreed day rates. The Client shall pay undisputed invoices within thirty (30) days of receipt. All fees are exclusive of VAT, which shall be added where required by law. Additional days or future engagements must be approved by the Client in writing (email suffices) before work is undertaken. The Parties may update applicable day rates for future work by mutual written agreement.

All hard costs related to the works (including but not limited to media advertorial placements and wire distribution fees) will be invoiced and paid for directly by the Client to the vendor. The Publicist will not incur or pass through third-party costs. The Publicist may request additional payment for any agreed-upon, non-cancellable expenses, which must be approved by the Client in advance.

All PR materials (press releases, abstracts, coverage reports) created by the Publicist under this Agreement will belong to the Client upon creation and payment for the relevant services. The Publicist may reference the work in future portfolios with the Client’s written permission.

ownership and licenses

confidentiality

The Publicist will treat all Client information as confidential and use it solely for the purpose of delivering services under this Agreement.

Tax and employment status

The Publicist is an independent contractor and is solely responsible for its own taxes and obligations. Nothing in this Agreement shall be interpreted to create an employment, partnership, or agency relationship.

GOVERNING LAW

This Agreement shall be governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with it.

amendments

No modification of this Agreement shall be valid unless in writing and signed by both Parties.

entire agreement

This Agreement represents the entire agreement between the Parties and supersedes all previous agreements, understandings, or representations, whether oral or written.

REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that they have the authority to enter into this Agreement and that doing so does not violate any other agreement or legal obligation.

DISCLAIMER

The Publicist will perform the agreed services to a professional standard but does not guarantee specific results or outcomes.

LIMITATION OF LIABILITY

Neither Party shall be liable for any indirect, incidental, or consequential damages, except in cases of: Gross negligence Willful misconduct Fraud Breach of statutory duty (UK) Liability shall be limited to the total amount paid under this Agreement unless otherwise required by law. Nothing in this Agreement shall limit either Party's liability for death or personal injury caused by negligence, fraud, or wilful misconduct.

SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

notices

Any notices under this Agreement shall be in writing and delivered to the addresses listed above or email and shall be deemed received 48 hours after posting or upon successful email confirmation of delivery.

Neither Party may assign or transfer their rights or obligations under this Agreement without prior written consent from the other Party.

ASSIGNMENT

TERM AND TERMINATION

Either party may terminate this or future Agreements for any reason by providing fourteen (14) days’ written notice to the other party. The Client will pay for all work completed by the Publicist up to the effective termination date. The Agreement officially ends once the 14-day notice period has passed.

This Agreement may be signed in counterparts and electronically, and electronic signatures are valid and binding. The Parties acknowledge that they have read, understood, and agreed to the terms set out in this Agreement.
