SUBCONTRACTOR AGREEMENT
This Subcontractor Agreement (hereinafter referred to as the "Agreement") was made and becomes effective on [effective date] (the "Effective Date"),

TERM

SERVICES PROVIDED

INDEMNITY AND INSURANCE
The Subcontractor agrees to indemnify and defend the Contractor, its affiliated entities, and/or individuals against any claims arising from the Subcontractor's work. The Subcontractor must maintain the minimum required insurance coverage for Workers' Compensation, Commercial General Liability, and Automobile Liability.
RELATIONSHIP BETWEEN THE PARTIES
The Parties agree that this Agreement establishes an independent contractor relationship between the Subcontractor and the Contractor. The Subcontractor is not an employee, representative, agent, or partner of the Contractor. This Agreement does not create any other partnerships between the Parties.
EXCLUSIVITY
This Agreement is not an exclusive arrangement, and the Parties are free to enter into similar agreements with other parties.
TERMINATION
This Agreement may be terminated under the following circumstances:
Immediately, if either Party breaches this Agreement or fails to remedy the breach within [time].
By providing written notice [notice period] prior to terminating the Agreement.
DISPUTE RESOLUTION
Any dispute or difference arising from this Agreement shall be resolved through [litigation method] in accordance with the laws of [governing law].
GOVERNING LAW
This Agreement is governed by and construed in accordance with the laws of [governing law].
SEVERABILITY
If any provision of this Agreement is found to be void or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in force according to the Parties' intention.
