Loan Agreement with Security
A three-party secured loan agreement for an inter-corporate deposit in India, between a lender company, a borrower company, and a third-party pledger company. The lender advances a fixed-term, interest-bearing inter-corporate deposit to the borrower, and the pledger secures repayment by pledging fully paid-up equity shares in favour of the lender. It covers the deposit amount, interest and penal interest, the share pledge and margin maintenance (top-up if the share price falls), the lender's right to sell the pledged shares on default, accretions (bonus/rights/dividends) forming part of the security, a demand promissory note, a power of attorney over the shares, and the pledger's joint-and-several, co-extensive liability with the borrower.

LOAN AGREEMENT WITH BANK
A loan agreement between a bank and a borrower in India for an overdraft / cash-credit facility to finance the borrower's business, up to a maximum limit and secured by a mortgage of the borrower's property. It covers the facility limit, interest charged on the daily balance and debited monthly, incidental and commission charges, the property mortgaged as security and the borrower's personal guarantee, a one-year term renewable on notice, and the borrower's obligation to repay the outstanding balance on demand — with the bank's books to be conclusive evidence of the amount due.

Guarantee for One Customer by One Surety
A continuing guarantee given by a single surety to a bank in respect of a single customer's account in India. The surety agrees to pay the bank, up to a stated maximum plus interest, all moneys and liabilities the customer owes on any account, together with interest and banking charges. It is a continuing guarantee terminable on three months' written notice, preserves the bank's freedom to grant the customer time or indulgence and to deal with other securities without discharging the surety, allows the bank to prove for its full claim in the customer's insolvency, and binds the surety's estate. Deed of Hypothecation
A deed of hypothecation under which a borrower charges a machine or asset — purchased with finance provided by a private lender — as security for repayment of the loan, in India. The creditor pays the balance purchase price to the manufacturer on the borrower's behalf and retains the original invoice until the debt is discharged; the borrower hypothecates the asset (described in Schedule A) and undertakes to repay principal and interest in monthly instalments (Schedule B). It covers default interest and acceleration on default, a restriction on removing the asset out of the State without intimation to the creditor, insurance of the asset, and dispute resolution by arbitration under the Arbitration and Conciliation Act, 1996.
