This is an asset-only purchase agreement for a restaurant where the buyer does not assume the seller's general liabilities. It contains unique mechanisms for the buyer to pay the seller's creditors directly from the purchase price and requires specific clearance letters from utility providers and landlords. It is not a share purchase agreement or a transfer of the legal entity itself.
Use this when purchasing physical restaurant equipment, furniture, and inventory from a running business while ensuring the purchase price clears the seller's specific debts. Use a Business Sale Agreement instead if you are acquiring the entire company including its employees, tax history, and all contracts.
| Clause | Name | What it does |
|---|---|---|
| 1.2 | Purchase Price | Directs the Purchaser to pay specific portions of the Purchase Price to the Seller's bank, landlord, and Electricity Board to settle debts. |
| 2.2 | Deliveries | Requires the Seller to provide confirmation letters from the bank, landlord, and Electricity Board certifying that all debts are settled. |
| 3.3 | Title to Assets | Warrants that the Seller is the absolute beneficial owner of the fittings, fixtures, and kitchen equipment free of encumbrances. |
| 5.1 | Indemnification | Obliges the Seller and its Partners to jointly and severally hold the Purchaser harmless against claims arising from restaurant operations before Closing. |
| 6.2 | Arbitration | Mandates dispute resolution via the Arbitration and Conciliation Act 1996 if amicable settlement fails within 15 days. |
| 7.1 | Expenses and Taxes | Assigns responsibility for stamp duty to the Purchaser and capital gains taxes to the Seller. |

Mostly US and UK law. Some templates use general commercial terms that work across jurisdictions, and many note which law they're written for.
It depends on the situation. Templates work well for routine business agreements. For anything involving significant money, complex IP, employment, or areas you're unsure about, it's worth getting professional advice before you sign. GitLaw provides templates and tools, not legal advice.

An asset purchase agreement under which a company (Purchaser) buys the assets of a running restaurant — fittings, fixtures, furniture, kitchen and delivery equipment, and other items — from a partnership firm (Seller) in India. The purchase price is applied, at the Seller's mandate, to clear the Seller's bank loan (secured by hypothecation of the assets), the landlord's rent dues and electricity dues, with any balance paid to the Seller's other creditors as directed. It covers the closing and deliveries (including confirmation letters releasing encumbrances and a bill of sale), the Seller's representations and warranties as to title and condition of the assets, conditions to closing, indemnification (with a third-party-claim procedure), arbitration under the Arbitration and Conciliation Act, 1996, and allocation of expenses and taxes.
