COMPUTER SERVICE AGREEMENT

This Computer Service Agreement (hereinafter referred to as the "Agreement") is made and effective [Effective Date] (the “Effective Date”), and is entered into

Recitals

WHEREAS, the Service Provider, possessing a comprehensive expertise in computer services, offers specialized services encompassing, but not limited to, system maintenance, software troubleshooting, and network administration;

WHEREAS, the Client, a business entity seeking to optimize its computer systems and maintain the integrity of its digital operations, has recognized the need for professional computer services to enhance efficiency, reliability, and security;

WHEREAS, the Client desires to engage the services of the Service Provider to benefit from their knowledge and experience in the field of computer services;

NOW, THEREFORE, in consideration of the matters described herein and for mutual benefits, the Parties agree as follows:

Term and Termination

This Agreement shall become effective on the stipulated effective date and will continue indefinitely until terminated by either Party.

Either Party wishing to terminate this Agreement must provide one month's written notice to the other Party. Written notice may be delivered by email to the following addresses:

Scope of Services

The Service Provider shall provide the Client with the following computer services:

Payment Terms

The Client shall remunerate the Service Provider a monthly fee of [Monthly Fee] for services rendered.

Payment shall be made within 14 days from the date of invoice.

Confidentiality

The Service Provider shall not disclose any confidential information obtained during the provision of services. "Confidential information" refers to any data, documents, materials, or knowledge provided by the Client to the Service Provider, or obtained by the Service Provider in the course of providing services, which is not publicly available or part of the general knowledge in the industry. This includes, but is not limited to, reports, intellectual property, business strategies, financial information, and customer data.

The confidentiality clause shall remain in effect for one year after the termination of this Agreement.

Service Levels and Performance Metrics

The Service Provider shall meet the following service levels and performance metrics:

Data Protection and Privacy

The Parties shall comply with all applicable data protection and privacy laws, including but not limited to [Governing Law Jurisdiction].

Insurance and Liability

The Service Provider shall maintain professional liability insurance with coverage amounts of ________________ specify coverage amounts and shall provide proof of insurance upon request.

This insurance coverage shall serve as a means to protect both Parties from potential liabilities arising out of the provision of computer services under this Agreement. Intellectual Property Rights

Any intellectual property or creations developed by the Service Provider during the Agreement related to the services provided shall become the exclusive property of the Client under the following conditions:

The intellectual property is created specifically for and at the request of the Client as part of the services outlined in this Agreement.

The Client has fulfilled all financial obligations to the Service Provider under this Agreement, including timely payment of all fees and expenses.

Upon meeting these conditions, the Service Provider shall promptly and irrevocably transfer all rights, titles, and interests in the intellectual property to the Client, including but not limited to copyrights, trademarks, patents, and any other related rights. The Service Provider shall provide all necessary assistance to perfect and effectuate this transfer of intellectual property rights.

Dispute Resolution

Any disputes arising under or in connection with this Agreement shall be resolved through negotiation between the Parties. If a resolution cannot be reached, the dispute shall be referred to mediation or arbitration in accordance with ________________ specify dispute resolution mechanism.
