INTERIOR DESIGN CONTRACT

This Interior Design Contract hereinafter referred to as the “Contract,” is being entered into on [EFFECTIVE DATE], by and between [SERVICE PROVIDER] hereinafter referred to as the “Provider,” and [CLIENT NAME] hereinafter referred to as the “Client,” referred to collectively as the “Parties," both of whom agree to be bound by this Contract.

Whereas, both Parties agree that the Provider is to provide interior designing services for the Client;

During several meetings and discussions, the parties agreed to certain aspects of the project as listed in this document.

The Parties have agreed to the mutual promises, initial premises, terms, conditions, representations, warranties, indemnities, covenants, and consensus contained in this Contract with the clear intention of legally binding themselves to it.

Scope of Services

The Provider shall, depending on project requirements, provide some or all the following services (“Services”) to the Client in accordance with the terms and conditions of this Agreement: Communication (email/phone calls, text, etc.) regarding the activities below are included as part of defined “services” payable by the client.

The Provider will work with the client to come up with a conceptual design that meets the client's design objectives and get the client's approval for all the design aspects.

The Provider will employ the proper computer applications and tools during the design conceptualisation process.

During the budgeting period, the Provider will decide on the project furnishings, materials, requirements, and cost of completion.

The Provider will establish a timeline for the interior design project's completion as well as other services related to interior design.

The Provider will perform the project at the address of [CLIENT ADDRESS], the (“Property”).

Proprietary Information

All of the Provider's creations are meant for design purposes only, the Provider will not offer any supplementary architectural and/or engineering services. Also, any documentation, records, notes, or other proprietary information revealed by one party to another will remain confidential and be the property of the Provider. Furthermore, all proprietary information will only be used for the purpose of finishing the project.

Responsibilities

[SERVICE PROVIDER]

[SERVICE PROVIDER] will be responsible for the following:

As of the Effective Date written in this contract, the Provider will be in charge of the interior design service for the client until the project is completed.

The Provider is formed, organized, and duly existing as a fully incorporated company under [COUNTRY OR STATE] law.

The Provider and/or its authorised representatives are legally allowed to sign, deliver and carry out the terms of this Contract under its articles of incorporation, corporate bylaws and board resolution. The Provider has the full power and legal authority to fulfil the obligations under this Contract; to sign and finalise the necessary transactions to fulfil the said obligations. The Provider’s performance of its obligations under this Contract is not restricted or limited in any way that could affect the carrying out of the said obligations.

Payment Terms

The Client is agreed to pay the Provider an hourly or flat rate _ (delete as appropriate)_ of [ENTER RATE] along with a one-time fee of [ENTER ONE TIME FEE] for the consultation; the total of which shall hereinafter be referred to as the “Purchase Price.”

The purchase price will be paid in cash to the client. However, the client may request to pay the purchase price in instalments, but they must let the provider know of this desire at least 3 business days before the effective date of this contract. This is pending the approval of the client, which must be given in writing.

The fees do not cover the expenses of materials and other necessary equipment, or furniture for interior design completion.

Confidentiality

The Provider is obligated to protect any confidential information or details revealed during the Term of this Contract, whether voluntarily or involuntarily.

Amendments

This Contract may be amended by a written agreement which shall supersede or repeal any provisions which conflict with the amendments or additional provisions therein.

Representations and Warranties

The Provider cannot ensure the prices for interior arrangements, design materials, and interior design-related expenses. Furthermore, a proposed budget will be given to the Client, and if there is a hold-up in payment, the Provider will offer an extension for the project. The Provider promises to execute such services expertly and with great care.

Notices

All communications required under this Contract must be written. They will be considered received and made when delivered by hand, through registered or certified mail, or by overnight mail with return receipt requested. They must be addressed to the Party receiving the notice at the following address, or to any other address that Party specifies with similar notice: The Provider, [PROVIDER ADDRESS], and the Client at [CLIENT ADDRESS].

Nature of Relationship

The Provider and the Client agree that they are not partners or in joint venture with each other. Nothing herein shall be construed to make the Parties such partners or joint venturers or impose any liability and responsibility on either of them. The Provider is an independent contractor and shall have no authority to act for or represent the Client, except as expressly provided or authorized in this Contract.

Entire Contract

This Contract creates legally binding obligations for and on behalf of the Parties and their assigns and legal representatives. There are no third-party beneficiaries to this Contract.

Each Party acknowledges and agrees that it fully understands the provisions of this Contract and the consequences of these provisions. The Parties accept and understand the purpose of this Contract and agree to comply with its terms and conditions until performance is completed.

Termination

This Agreement shall be effective on the date hereof and shall continue until project completion. The Contract can be ended sooner with a 30 day written notice to the other party, only if, or when, all of the stipulations and conditions outlined within the Contract have not been fulfilled or have been excused in writing by both Parties.

Governing Law and Jurisdiction

This Contract shall be interpreted according to [COUNTRY OR STATE] law. The parties shall resolve the obligations, rights, and remedies of the parties mentioned under such laws.

Arbitration

If any outstanding issues, matters, and concerns about the Contract and the procedures of the project are not resolved after private meetings and discussion, the Parties will engage an arbitrator to resolving the remaining disputes.

All disputes, outstanding issues, matters, and concerns relating to this Contract and the procedures of the project that remain unresolved after private meetings and discussions shall be governed by and interpreted in accordance with [COUNTRY OR STATE] law, without regard to conflict of law principles.
