MUSIC LICENSE AGREEMENT
This Music License Agreement (hereinafter referred to as the "Agreement") is made and effective on [date of agreement],
BY AND BETWEEN: | [licensor name], with an address of [licensor address], hereinafter referred to as the “Licensor.” |
AND: | [licensee name], with an address of [address of licensee], hereinafter referred to as the “Licensee,” collectively referred to as the “Parties.” |
WHEREAS, the Licensor has the exclusive right of the intellectual property, the composition, and the recording, collectively called the "Recording" and has the right to grant the license under this agreement limited to the conditions set within.
The description of the Recording is attached to this agreement.
The agreement shall come into effect on [date of agreement].
WHEREAS, the Licensor intends to license the right to the Recording to the Licensee for the purpose set forth in this agreement.
THEREFORE, in consideration of which the parties have receipts promise as follows:
The Licensor grants non-exclusive, non-transferable permission to use the Recording per the terms and conditions set forth in this agreement.
The Licensor grants the right to:
Use the songs as backgrounds
Create a video for the social media channel
Broadcast the video
Upload it on non-downloadable streaming sites
Publicly perform the Recording
Credit must be given to the Licensor at the end or beginning of titles
The Licensor does not grant the Licensee the right to;
Transfer the right in the Recording
Alienate the Recording from the Licensor
Bring claim against anyone based on the Recording
Use it for brand endorsement
The licensee shall pay [royalty fee] amount of royalty.
The Licensee can only use the right provided in this agreement during the period fixed in this agreement.
Use of the Recording in no way should be construed as a right of ownership.
Unless prior written notice is obtained, neither party can modify this agreement in any manner.
The licensor warrants that the Recording is free from any legal liability and free of any kind of third-party rights. The Licensor is the sole owner of the Recording and is eligible to grant permission for its use.
The agreement will expire on [expiry date] unless the parties renew or terminate the agreement per the terms and conditions set forth.
Notwithstanding anything in this agreement, this agreement shall automatically be deemed terminated in the following circumstances:
Licensee abrogates any clause of this agreement
Assigns, conveys, sale or licenses any rights associated with the Recording
Licensee uses the Recording for any purpose other than stipulated in clause 2 of this agreement
This agreement will be governed by the laws of [jurisdiction]
If any part or clause of this agreement becomes invalid or unenforceable, the Agreement will become void to that extent.
In witness, the parties do hereby sign this agreement and put it into force as of the date set forth above.
