A copy of the Standard Terms is attached for convenience only. Any modifications of the Standard Terms should be made on the Cover Page, which will control over conflicts with the Standard Terms.

Changes to Standard Terms
List specific changes to the Standard Terms

A. DTSA Whistleblower Immunity. Pursuant to the Defend Trade Secrets Act of 2016, an individual shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of a trade secret that: (A) is made (i) in confidence to a Federal, State, or local government official, either directly or indirectly, or to an attorney, and (ii) solely for the purpose of reporting or investigating a suspected violation of law; or (B) is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal.

B. Protected Disclosures. Nothing in this MNDA shall prohibit or restrict any party from (i) reporting a suspected violation of law to any governmental entity or agency; (ii) making any other disclosures that are protected under the whistleblower provisions of any applicable law or regulation; or (iii) disclosing factual information related to a claim of sexual assault or sexual harassment as protected by the federal Speak Out Act.

C. AI Use Restriction. The Receiving Party shall not use Confidential Information (including product roadmaps or customer data) to train, fine-tune, or improve any artificial intelligence or machine learning models. Inputting Confidential Information into public or consumer-grade AI tools where data rights are not strictly retained by the Receiving Party is prohibited.

Neither party has changed the Standard Terms, except for the details on the Cover Page above. By signing this Cover Page, each party agrees to enter into this MNDA as of the Effective Date.
