An agreement under which an importer (the Principal) appoints an exclusive ("monopoly") clearing and handling agent in India to clear imported goods from customs and to lift, handle, finance, store and sell them. It covers the agent's authority to represent the principal before manufacturers, banks, railways and other authorities; the provision of finance and its reimbursement from sale proceeds; reporting and accounting subject to weekly inspection; allocation of liability for demurrage and damage; endorsement and transfer of shipping documents; the agent's right to claim against carriers for short or non-delivery; and the term of the appointment until the consignment is sold.
