Code of Ethics sets out mandatory principles for honesty, fairness, confidentiality, intellectual-property respect, conflict-of-interest disclosure and zero tolerance for bribery, corruption, discrimination, harassment and bullying. Developed by Study Academy, a UK-based training provider delivering accredited compliance and workplace-skills education.

Code of Ethics

Overview

At [company], we are committed to maintaining the highest standards of ethical conduct in all aspects of our business. Our Code of Ethics serves as a guide to ensure that we act with integrity, respect, and professionalism in all our business practices.

It is [company]’s policy to conduct business in an honest way: ethically and without the use of corrupt practices or acts of bribery to obtain an unfair advantage. This policy document sets out the general rules and principles to which [company] adheres to in relation to ethics, anti-bribery and corruption.

Compliance with [company]’s code of ethics policy is mandatory. Failure to follow the rules set out in this policy document may result in disciplinary action, which could result in your dismissal.

This document is not exhaustive but provides examples of situations and the rules and procedures to follow. Should you be uncertain about whether your actions comply with this policy, you must seek guidance from your manager or a director of [company].

Compliance with Laws and Regulations

Adherence to laws: we will adhere to all applicable laws and regulations in the UK.

Employee responsibility: it is each employee’s responsibility to be informed about relevant legal requirements and to ensure compliance in their work.

Integrity and Honesty

Commitment to honesty: we are committed to honesty and transparency in all communications with clients, partners, and colleagues.

Avoiding deceptive practices: we will not engage in deceptive practices or misrepresentation of our services, capabilities, or pricing.

Conflict of Interest

Disclosure: employees must disclose any potential conflicts of interest that could influence their professional judgment or actions.

Objectivity: we strive to ensure that our decisions and services are free from personal biases, conflicts of interest, or undue influence.

Confidentiality and Data Protection

Confidentiality: we will protect the confidentiality of client data and sensitive business information.

Data protection: we adhere to the uk’s general data protection regulation (gdpr) and other relevant data protection laws to ensure that personal and business data is handled securely and appropriately.

Intellectual Property

Respect: we respect intellectual property rights and will not use or distribute copyrighted materials without proper authorisation.

Original content: employees should ensure that all content, designs and materials created for clients are original or properly licensed.

Fair Dealing

Commitment to fairness: we are committed to fair, transparent and ethical dealings with clients, suppliers, and partners.

Transparency: we will provide clear, accurate, and honest information about our services and pricing.

Anti-corruption and Bribery

Corruption is the misuse of entrusted power for private gain. Bribery is the offer, promise, giving or receipt of any payment or reward to encourage something which is dishonest, illegal or a breach of trust, in the conduct of [company]’s business. 

Zero tolerance: we have a zero-tolerance policy towards bribery and corruption.

Prohibited practices: employees are prohibited from offering, soliciting, or accepting any form of improper payment, gift or favour in exchange for influence or preferential treatment.

All employees and officers of [company] must adhere to the following guidance:

Behave honestly, be trustworthy and set a good example.

Use the resources of [company] in the best interests of [company] and not misuse such resources.

Distinguish between private interests and the interests of [company], and avoid any conflicts of interest. If any such conflict, or potential conflict, arises, you must consult your manager.

Confidentially report all incidents, risks and issues which are contrary to this policy to your manager.

Do not offer or accept bribes.

Do not offer any gifts or hospitality to other parties, unless they fall within reasonable bounds of value and occurrence. All such gifts or hospitality are to be fully reported on monthly expense claims – further detail may be requested by your manager. If you are at any time unsure what constitutes ‘reasonable’ you must seek guidance from your manager.

Any offers of gifts or hospitality made to you by other parties, unless they fall within reasonable bounds of value and occurrence, and are by nature reasonably insignificant, must be reported to your manager prior to acceptance. If you are at any time unsure what constitutes ‘reasonable’ you must seek guidance from your manager.

Do not offer or accept money to speed up service or gain an improper advantage.

Respect in the Workplace

Inclusive work environment: We are dedicated to fostering a respectful and inclusive work environment for all employees.

Zero tolerance: Discrimination, harassment, or bullying of any kind will not be tolerated under any circumstances.

Responsibility to Clients and Community

Client commitment: We will strive to deliver high-quality, reliable services to our clients, maintaining their trust and satisfaction.

Community engagement: While we are a remote-first organisation, we encourage our employees to engage positively with and contribute to the communities where they live and work.

Reporting Violations

Reporting: All employees have a responsibility to help detect, prevent and report any concerns or instances of unethical behaviour through established reporting mechanisms. Employees should speak immediately to their manager, or a director, in these instances.

Confidentiality and protection: All reports will be taken seriously and handled confidentially. Retaliation against individuals who report violations in good faith is prohibited.

Enforcement and Accountability 

Mandatory compliance: Adherence to this code is mandatory for all employees. Violations will be addressed promptly, and disciplinary actions will be taken as necessary.

Regular review: This code will be reviewed annually to ensure its relevance and effectiveness.

By complying with this policy document, [company] aims to ensure that you and [company] will not at any time knowingly breach any relevant ethical, anti-bribery and corruption legislation and that [company] can demonstrate it has adequate procedures in place to prevent any such activity.

You have an independent obligation to prevent breaches of ethics, bribery and corruption in [company] and to ensure compliance with this policy.

If you do not understand, or have any queries regarding this policy document, it is your duty to ensure that you immediately seek guidance from your manager.

Policy Change

This Code of Ethics will be reviewed annually to ensure it remains aligned with our company policies and regulations. Any updates will be shared with the relevant personnel.
