Business Development Agreement
A business development agreement under which a company (Second Party), specialising in corporate advisory and business development, undertakes to develop business for another company (First Party) in India, at its own cost. It covers the second party's activities — gathering market, sales and tender information, sourcing leads, and supporting the first party's bidding for tenders — and provides for success-based professional charges (a percentage of the contract value) payable only if a tender is awarded to the first party. It also covers the taxes borne by the first party, the continuation of the arrangement for future tenders only on the first party's written assignment, termination on 15 days' notice, and confirmation that no fiduciary relationship is created.

Assets Purchase Agreement for Purchasing the Assets of a Running Restaurant
An asset purchase agreement under which a company (Purchaser) buys the assets of a running restaurant — fittings, fixtures, furniture, kitchen and delivery equipment, and other items — from a partnership firm (Seller) in India. The purchase price is applied, at the Seller's mandate, to clear the Seller's bank loan (secured by hypothecation of the assets), the landlord's rent dues and electricity dues, with any balance paid to the Seller's other creditors as directed.
