A business development agreement under which a company (Second Party), specialising in corporate advisory and business development, undertakes to develop business for another company (First Party) in India, at its own cost. It covers the second party's activities — gathering market, sales and tender information, sourcing leads, and supporting the first party's bidding for tenders — and provides for success-based professional charges (a percentage of the contract value) payable only if a tender is awarded to the first party. It also covers the taxes borne by the first party, the continuation of the arrangement for future tenders only on the first party's written assignment, termination on 15 days' notice, and confirmation that no fiduciary relationship is created.

A building construction contract on a fee-plus-cost basis, under which a contractor constructs a house on the owner's plot according to an architect's sanctioned plans in India, being reimbursed the cost of labour and materials plus a fee. It covers the standard and manner of construction to the architect's satisfaction, commencement and completion with liquidated damages for delay (capped at 2%), stage-wise payments certified by the architect with 5% retention money and a 12-month defects-liability period, free access to site, the contractor's indemnity for injury and damage, the owner's extensive rights on the contractor's default or abandonment (termination, taking over materials and plant, and completion by others, with the architect's final certification of accounts), appointment of a site engineer, inspection and rectification of defects, and dispute resolution by arbitration.

An asset purchase agreement under which a company (Purchaser) buys the assets of a running restaurant — fittings, fixtures, furniture, kitchen and delivery equipment, and other items — from a partnership firm (Seller) in India. The purchase price is applied, at the Seller's mandate, to clear the Seller's bank loan (secured by hypothecation of the assets), the landlord's rent dues and electricity dues, with any balance paid to the Seller's other creditors as directed. It covers the closing and deliveries (including confirmation letters releasing encumbrances and a bill of sale), the Seller's representations and warranties as to title and condition of the assets, conditions to closing, indemnification (with a third-party-claim procedure), arbitration under the Arbitration and Conciliation Act, 1996, and allocation of expenses and taxes.

A letter recording the terms on which a property owner engages a property dealer to introduce a purchaser for the owner's house in India. It sets out the dealer's role in introducing a ready and willing purchaser, the commission payable on a sale concluded within an agreed period, a description of the property with confirmation that it is freehold and will be sold free of encumbrances, the asking price and that transfer costs fall on the purchaser, the point at which commission accrues and the staged advances against it (refundable if the transaction falls through), the owner's undertaking not to appoint another agent during the period, and automatic cancellation of the authority on expiry.

An agreement for the supply of goods according to a sealed sample, between a seller and a purchaser company in India (drafted here for cotton). It covers the quantity, variety and conformity to the sealed sample, the supply period (time being of the essence), payment for each instalment after quality inspection, rejection of substandard goods and the purchaser's right to auction unremoved rejected goods at the seller's risk and cost, the finality of the purchaser's inspector's decision on quality, and the purchaser's right to repudiate and buy in the shortfall at the seller's expense if the seller fails to supply in time.

An indemnity given by a person who has received goods, articles or money but has lost the original receipt. The recipient acknowledges receipt and, for himself and his heirs, executors and administrators, undertakes to hold the payer or deliverer, its agents and servants, harmless and indemnified against all claims to the goods or money. A second signer certifies that the recipient is the bona fide owner and stands surety, undertaking the whole liability equally with the recipient.

An agreement for the transfer of a flat by one member of a co-operative housing society to another in Delhi, India. The transferor transfers his right of occupancy, together with his interest and the shares he holds in the society, to the transferee. It covers the price and earnest money, the required consents of the society's board and the Registrar of Co-operative Societies, transfer of the share certificate, delivery of vacant possession on payment of the balance, the flat being taken on an "as is" basis, the transferor's representations as to sole ownership and clear title, apportionment of society dues and transfer fees, income-tax clearance where required, and the parties' remedies (refund, forfeiture or specific performance) if the transfer is not completed.
